Walter J. Stanton III practices in the area of corporate law with an emphasis on securities financings including venture capital, mezzanine financings and private placements. Mr. Stanton's practice also involves the representation of clients in mergers and acquisitions, corporate governance, bank financing, executive compensation and employment matters. Mr. Stanton advises board members concerning compliance matters relating to SEC Regulations and trading exchanges corporate governance standards. Mr. Stanton represents clients before the Securities and Exchange Commission, the National Association of Securities Dealers, the Federal Reserve Board and the State of Florida Banking and Securities Departments.

Admitted to practice in Florida, the District of Columbia and Texas, Mr. Stanton is a 1979 graduate of the Columbus School of Law of the Catholic University of America, where he served on the Law Review, and is a 1976 graduate of the College of William and Mary.

Mr. Stanton is a member of the Executive Committee of the University of Miami Citizen's Advisory Board, a member of Executive Committee of the AeA - Florida Chapter (formerly the American Electronics Corporation) and its State Political Action Network, a member of the Miami Chamber of Commerce Cutting Edge Award Committee and a member of the SMU Dad's Club. Mr. Stanton also serves on the advisory Board of the Learning Experience School and is serving as the Chairman of the Ransom Everglades School 2004 Golf Invitational. Mr. Stanton's previous community and social activities included service as a Board Member and member of the Executive Committee of the Health Foundation of South Florida, the American Heart Association South Florida Chapter and as a Board Member of LaGorce Country Club.
